External Commercial Borrowing (ECB): How Indian Companies Can Borrow Abroad

External Commercial Borrowing (ECB) lets Indian companies raise foreign currency (or INR-denominated) loans from overseas lenders — foreign banks, overseas group companies, or international financial institutions — under RBI's ECB framework, mostly via the automatic route requiring no prior approval, subject to minimum maturity, cost ceilings and end-use restrictions.

Automatic vs Approval route

Most eligible borrowers and standard end-uses fall under the automatic route — no prior RBI approval needed, only reporting after the loan is drawn. The approval route applies to specific cases falling outside automatic-route parameters, requiring prior RBI clearance.

Key conditions

  • Minimum Average Maturity Period (MAMP): Generally 3 years (can be shorter for specific categories like manufacturing-sector borrowers up to a limit)
  • All-in-cost ceiling: Capped at a benchmark rate plus a spread, to prevent excessively costly borrowing
  • Eligible borrowers: Companies, LLPs, start-ups, and other entities as notified
  • Recognised lenders: Must be from an FATF or IOSCO-compliant country

Permitted end-uses

Capital expenditure, working capital (for specific categories), refinancing of existing ECBs, and general corporate purposes (for certain borrower types) are typically permitted. Real estate speculation, on-lending (with specific exceptions), and investment in capital markets are generally restricted end-uses.

Reporting requirements

  1. Obtain a Loan Registration Number (LRN) from the RBI before drawing down the loan, by filing Form ECB
  2. Report actual drawdowns and the loan agreement details
  3. File monthly ECB-2 returns reporting outstanding balances and transactions

Why companies use ECB over domestic borrowing

Overseas lenders — particularly parent companies for subsidiaries of foreign MNCs — often offer lower interest rates than Indian domestic lending rates, making ECB an attractive financing route for capital-intensive expansion, subject to staying within the all-in-cost ceiling.
