Independent Director Requirements Under the Companies Act
Independent director appointment is mandatory under Section 149 of the Companies Act for every listed company (at least one-third of the board), and for public companies meeting any of: paid-up capital of ₹10 crore or more, turnover of ₹100 crore or more, or outstanding loans/borrowings/debentures/deposits above ₹50 crore — these companies must appoint at least 2 independent directors.
Who qualifies as an "independent" director
- Not a promoter of the company or its holding/subsidiary/associate companies
- Not related to promoters or directors of the company or its group entities
- Has (or had) no material pecuniary relationship with the company beyond director remuneration
- Not a key managerial personnel or employee of the company (or its group) in the preceding 3 years
- Possesses relevant expertise, experience or proficiency as the board assesses
The Independent Directors' Databank
Every individual intending to be appointed as an independent director must register on the Independent Directors' Databank maintained by the Indian Institute of Corporate Affairs, and pass a proficiency self-assessment test within the prescribed period (unless exempted based on prior experience as a director/senior professional for a specified number of years).
Tenure and reappointment limits
An independent director can serve for a term of up to 5 consecutive years, eligible for reappointment by special resolution for one more term of up to 5 years — after two consecutive terms, a cooling-off period of 3 years applies before they can be reappointed to the same company.
What independent directors are specifically responsible for
- Safeguarding the interests of all stakeholders, particularly minority shareholders
- Reviewing related party transactions for fairness
- Serving on mandatory board committees (Audit Committee, Nomination and Remuneration Committee) where required
Penalty for non-compliance
Failure to appoint the required number of independent directors, or failing to get them registered on the databank, exposes the company and officers in default to penalties under the Act and can trigger scrutiny during ROC filings and audits.
