Private Limited vs LLP vs OPC: Which Business Structure Should You Choose?
Private Limited Company is the right choice if you plan to raise equity funding or bring in investors. LLP suits professional and service businesses that want limited liability with lighter compliance. OPC (One Person Company) suits solo founders who want a corporate structure without a co-founder. All three give limited liability; they differ sharply in compliance, funding and exit.

Choose Private Limited if…
You plan to raise venture capital or angel funding, want to issue ESOPs, or expect to scale with multiple co-founders and investors. Nearly all VC-backed startups in India are Private Limited companies because investors require share-based ownership.
Choose LLP if…
You run a professional practice, consultancy or services business, want limited liability without heavy compliance, and don't need external equity funding. LLPs are common for CA firms, law firms, design studios and agencies.
Choose OPC if…
You are a solo founder who wants limited liability and a formal corporate identity but doesn't yet need a co-founder. An OPC converts to a Private Limited company once turnover exceeds ₹2 crore or paid-up capital exceeds ₹50 lakh.
