XBRL Filing Requirements for Companies in India

Companies with listed securities (and their Indian subsidiaries), paid-up capital of ₹5 crore or more, or turnover of ₹100 crore or more must file their annual financial statements in XBRL (eXtensible Business Reporting Language) format using Form AOC-4 XBRL, instead of the standard AOC-4 that most companies use.

What XBRL actually is

XBRL is a standardised, machine-readable data format (tagging each financial figure with a defined element) that lets regulators, analysts and systems automatically read, compare and analyse financial statements across companies — rather than manually extracting numbers from PDF-style filings.

Who must file in XBRL

  • All companies listed on a recognised stock exchange in India, and their Indian subsidiaries
  • Companies with paid-up capital of ₹5 crore or more
  • Companies with turnover of ₹100 crore or more
  • Companies covered under the Companies (Indian Accounting Standards) Rules

Banking, insurance, power, and NBFC companies are generally exempt from XBRL filing (they follow sector-specific regulators' formats instead).

The XBRL filing process

  1. Prepare financial statements following applicable accounting standards
  2. Map/tag each line item to the correct XBRL taxonomy element using XBRL conversion software
  3. Validate the XBRL instance document for errors using the MCA's validation tool
  4. File Form AOC-4 XBRL on the MCA portal within the standard 30-days-from-AGM deadline

Common filing errors to avoid

Incorrect tagging of financial elements, mismatches between the XBRL data and the underlying signed financial statements, and using an outdated taxonomy version are the most frequent causes of validation failures and resubmission delays.

Penalty for non-compliance

Same penalty structure as a missed AOC-4 — ₹100 per day of delay with no upper cap — since XBRL filing is simply the applicable format of the same mandatory return for qualifying companies.

Our ROC compliance team handles XBRL conversion and filing for qualifying companies.
