FLA Return & FC-GPR: FEMA Reporting Every Foreign-Funded Company Must File
Any Indian company with foreign investment has ongoing FEMA reporting duties. Two are unmissable: FC-GPR and the FLA return.
FC-GPR
When shares are issued to a non-resident, FC-GPR must be filed on the RBI's FIRMS portal within 30 days of allotment, with a valuation certificate and FIRC.
FLA Return
The Foreign Liabilities and Assets return is filed annually by 15 July by every company that has received FDI or made overseas investment — even in years with no fresh transactions.
Penalties
FEMA contraventions can attract penalties up to three times the amount involved, plus daily continuing penalties. Compounding is possible but costly.
